Terms of Service

1.Acceptance and Eligibility
By creating an account, completing onboarding, or using any part of the Bruce platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
You must be at least 18 years old and hold an active professional license in the category you select at registration. Access to Bruce is restricted to licensed professionals. By registering, you represent that you meet these requirements at the time of registration and will continue to meet them for as long as your account remains active.
The following are prohibited:
- Impersonating another person or professional
- Submitting false, misleading, or unverifiable information
- Uploading contacts with whom you do not have a genuine prior professional relationship
- Using the Platform to send unsolicited or unlawful messages
- Scraping, harvesting, or automated collection of data
- Soliciting, incentivizing, gating, or fabricating reviews in violation of applicable law or any platform's policies
2.The Service
Bruce is a done-for-you client engagement and reviews service for licensed professionals. With your authorization, Bruce contacts your past clients on your behalf and in your name, sends them useful, locally relevant messages designed to keep your professional relationships warm, and, when a client expresses interest, helps that client share a review of their experience working with you. Bruce may also create a Bruce-hosted profile page, a blog post, and related content for you as part of the service.
To use the Service, you upload a list of contacts. You represent that each contact you upload is a past client or other person with whom you have a genuine prior professional relationship, and that you have a lawful basis to contact them. You are solely responsible for the accuracy of the contacts you upload and for the existence and nature of your relationship with each of them.
Before any outreach begins, Bruce shows you a preview of the messaging and you provide explicit authorization to begin contacting your clients. You may pause or stop outreach at any time. Bruce honors recipient opt-out requests promptly and permanently.
Reviews are authentic and client-controlled. Bruce does not write, fabricate, alter, or post reviews on a client's behalf. Any review reflects the client's own words and is edited, approved, and posted by the client from the client's own account. Bruce does not condition, gate, or filter review requests on anticipated sentiment, and does not offer compensation in exchange for reviews. You agree not to use the Service to solicit, incentivize, or manufacture reviews in any manner that violates applicable law, including the Federal Trade Commission Act and FTC guidance on endorsements and reviews, or the policies of any review platform (including Google).
Your compliance responsibilities. You are solely responsible for ensuring that your use of the Service, including the contacts you upload and the outreach Bruce sends on your behalf, complies with all applicable laws, regulations, and platform policies. This includes, without limitation, the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, applicable state messaging and consumer protection laws, FTC rules governing reviews and endorsements, the terms of service of any third-party review or messaging platform, and any professional licensing or advertising rules applicable to your category. Bruce provides the tooling and operates outreach at your direction; you remain the principal on whose behalf the outreach is sent.
No guaranteed outcomes. Bruce does not guarantee that any contact will respond, that any client will post a review, or that the Service will produce any particular number of reviews, leads, clients, or business results. The Service keeps relationships warm and surfaces opportunities; it does not promise revenue or any specific outcome.
No regulated advice. Bruce does not provide real estate, mortgage, title, insurance, legal, financial, or other regulated advice to your clients. When a client raises a substantive matter, Bruce routes it to you, the licensed professional, to handle.
3.Subscription
Bruce is a subscription service. The applicable fees, any trial or activation conditions, and the billing cadence are disclosed to you at sign-up and in your account; they are not set out in these Terms and may be updated on a prospective basis with notice as described in Section 16.
You may cancel your subscription at any time. Cancellation stops future billing and outreach; fees already charged are non-refundable except where required by law. Bruce may suspend or terminate the Service for non-payment or for violation of these Terms.
4.AI Assistance and Voice Calls
Bruce is an AI assistant. When you call in, you are speaking with an AI, not a human. Bruce uses artificial intelligence for profile generation from voice conversations, drafting client outreach and content on your behalf, summaries, and recommendations.
By providing your phone number during signup, you consent to receiving calls and text messages from Bruce and to the recording, transcription, and voice analysis of those calls for the purpose of building and updating your professional profile. Voice biometric data derived from your calls may be retained for identity matching on future calls. You may request deletion of all voice recordings and biometric data at any time by contacting support@bruce.bot.
Bruce uses the following AI and infrastructure providers to operate the platform. None use your data to train their models by default:
- VAPI: voice AI infrastructure (call processing, transcription, biometric matching)
- OpenAI: AI inference for profile generation and matching (API data auto-deleted within 30 days; not used for training)
- Anthropic: AI inference for profile generation and call analysis (API data auto-deleted within 30 days; ad hoc deletion within this window is not available)
- Amazon Web Services (AWS): cloud infrastructure, storage, and hosting
Voice recordings and biometric identifiers are deleted from both Bruce's systems and VAPI's systems upon a verified deletion request.
All AI-generated text (including profile summaries, client outreach drafts, blog and profile content, and recommendations) is informational only and may contain inaccuracies. Outreach and content created on your behalf are sent or published in your name, and you are responsible for reviewing them before they go out where the Service gives you the opportunity to do so. You are responsible for reviewing and verifying any AI-produced information before relying on it. Bruce assumes no liability for errors in AI-generated content.
5.Ownership and Content Rights
Users retain ownership of the content they submit to Bruce but grant Tanda Technologies, Inc. a non-exclusive, royalty-free, worldwide license to display, distribute, store, and use that content in connection with operating and improving the Platform.
Bruce owns all rights to its technology, branding, platform design, AI-generated text, and aggregated data. Scraping, reproduction, or unauthorized use of Bruce content is strictly prohibited.
6.Privacy and Data
Your use of Bruce is also governed by our Privacy Policy. Bruce never sells user data. The platform is designed to comply with CCPA, CPRA, and applicable state privacy requirements.
Account deletion. When a member requests account deletion: (a) all voice recordings and biometric data are permanently deleted from Bruce's systems and VAPI; (b) all profile and identity data (name, email, phone, license details, and AI-generated summary) are permanently deleted; and (c) outreach to the member's contacts ceases. Bruce-hosted content created for the member (such as a profile page or blog post) may be removed or unpublished. Reviews posted by clients on third-party platforms such as Google reside on those platforms and are controlled by the platform and the client who posted them; Bruce cannot delete them.
7.Your Representations and Warranties
By creating an account and using the Platform, you represent and warrant to Tanda Technologies, Inc. that:
- All information you submit (including your name, company, professional category, license number, and contact details) is true, accurate, complete, and not misleading to the best of your knowledge at the time of submission;
- You hold an active, valid professional license in the category and jurisdiction you have stated, and you are authorized to practice in that capacity;
- Each contact you upload is a past client or other person with whom you have a genuine prior professional relationship, and you have a lawful basis to authorize outreach to them on your behalf;
- You will not use the Service to solicit, incentivize, gate, or fabricate reviews in violation of applicable law or any platform's policies, and you understand that any review must reflect the client's own authentic experience, posted by the client from the client's own account;
- You will promptly notify Bruce at support@bruce.bot if your professional license is suspended, revoked, expired, or otherwise materially changes; and
- Your use of the Platform complies with all applicable laws and professional licensing regulations, including but not limited to the TCPA, the CAN-SPAM Act, FTC rules governing reviews and endorsements, state messaging and consumer protection laws, state real estate licensing laws, state mortgage broker regulations, and state insurance licensing rules.
You acknowledge that Bruce relies on these representations in operating the Platform and that false representations may constitute fraud and expose you to civil and criminal liability.
8.Indemnification
You agree to indemnify, defend (with counsel reasonably acceptable to Bruce), and hold harmless Tanda Technologies, Inc., its officers, directors, employees, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Any content, data, or information you submit to the Platform, including the contacts you upload;
- Outreach Bruce sends on your behalf and at your direction, and any review or content associated with your account;
- Your breach of any representation, warranty, or obligation in these Terms;
- Your violation of any applicable law, regulation, or professional licensing requirement, including the TCPA, the CAN-SPAM Act, FTC rules governing reviews and endorsements, and any third-party platform's policies;
- Any claim by a third party (including a client or contact you uploaded) that arises from information associated with your account or actions taken on your behalf in connection with the Platform; or
- Any claim that outreach you authorized, or a review or content associated with your account, was unlawful, unsolicited, deceptive, or otherwise improper.
This indemnification obligation survives termination of your account and these Terms.
9.Assumption of Risk
You expressly acknowledge and assume the following risks inherent to the Platform:
- Self-reported data. The contacts and relationship information on the Platform are provided by users. Bruce does not independently investigate, audit, or verify the existence or nature of your relationship with any contact you upload.
- Outreach is sent on your behalf. Bruce sends messages to your contacts in your name and at your direction. You are the principal responsible for that outreach and for ensuring it is lawful and appropriate. Bruce provides the tooling; it does not assume your compliance obligations under the TCPA, CAN-SPAM, FTC rules, or any platform's policies.
- Reviews are authentic and outside Bruce's control. Reviews reflect a client's own words and are posted by the client from the client's own account on a third-party platform such as Google. Bruce does not write, alter, or post reviews and does not control whether, when, or how a platform displays, retains, or removes them.
- No guaranteed results. Bruce does not guarantee any number of responses, reviews, leads, clients, or business outcomes. Relationship maintenance and outreach are activities, not promised results.
- AI-generated content may be inaccurate. Profile summaries, outreach drafts, and other AI-generated content are produced automatically and may contain errors, omissions, or misrepresentations. You are responsible for reviewing content created on your behalf and requesting corrections where the Service allows.
- Business decisions are your own. Any decision you make based on information available through the Platform is made at your sole risk and discretion. Bruce is a client engagement tool, not a due diligence or compliance service.
10.No Verification; No Reliance; Not a Consumer Reporting Agency
Not a verification service. Bruce is a client engagement and reviews service. It is not a verification service, background check service, licensing authority, or professional regulatory body. Bruce does not certify, endorse, or guarantee the accuracy of any information displayed on the Platform.
No reliance. The Platform is not intended to be relied upon as the sole or primary basis for any business, financial, professional, or legal decision. You agree that you will independently verify any material information before acting on it. Bruce is not responsible for any outcome resulting from a decision you make based on Platform data.
Not a consumer reporting agency. Bruce is not a consumer reporting agency as defined by the Fair Credit Reporting Act (FCRA), 15 U.S.C. § 1681 et seq. Information available on the Platform does not constitute a "consumer report" under FCRA. The Platform is a client engagement and reviews service for licensed professionals operating in their individual professional capacity. Platform data may not be used as a factor in determining any individual's eligibility for credit, employment, housing, or insurance.
Credential staleness. Bruce conducts an initial license verification at the time of member onboarding. Bruce does not monitor ongoing license status. Information about a member's professional credentials displayed on the Platform may not reflect their current licensing status. You are solely responsible for independently verifying the current licensing status of any professional before relying on that information.
11.Disclaimers and Limitation of Liability
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by applicable law.
12.Arbitration and Class Action Waiver
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or your use of the Platform (including disputes about the validity, enforceability, or scope of this arbitration clause) shall be resolved exclusively through binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures (for claims under $250,000) or its Comprehensive Arbitration Rules and Procedures (for claims $250,000 or more), as applicable. The arbitration shall be conducted in Wilmington, Delaware, or, at your election, by videoconference. The arbitrator shall apply Delaware law. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class action waiver. YOU AND TANDA TECHNOLOGIES, INC. EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION OF ANY KIND. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.
Jury trial waiver. YOU AND TANDA TECHNOLOGIES, INC. EACH WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM.
Severability of waiver. If the class action waiver in this Section is found unenforceable with respect to any claim, then this entire arbitration clause shall be null and void with respect to that claim only, and such claim shall be resolved in a court of competent jurisdiction in Delaware. All other claims subject to arbitration shall proceed individually.
Exceptions. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, pending resolution by the arbitrator.
Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to legal@bruce.bot with the subject line "Arbitration Opt-Out" and your name and account email address. If you opt out, disputes will be resolved in the courts specified in Section 13.
13.Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration under Section 12, you and Tanda Technologies, Inc. each consent to exclusive personal jurisdiction and venue in the state and federal courts located in Wilmington, Delaware, and waive any objection to the exercise of jurisdiction by those courts.
14.General Provisions
Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tanda Technologies, Inc. with respect to the Platform and supersede all prior or contemporaneous understandings, representations, or agreements, whether written or oral, relating to the subject matter herein.
Severability. If any provision of these Terms is held by a court or arbitrator to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
No waiver. Bruce's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Tanda Technologies, Inc.
Assignment. You may not assign or transfer your rights or obligations under these Terms without Bruce's prior written consent. Bruce may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law, without notice to you.
Force majeure. Bruce is not liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, government action, internet outages, or third-party service failures.
Survival. Sections 7 (Representations and Warranties), 8 (Indemnification), 9 (Assumption of Risk), 10 (No Verification; No Reliance), 11 (Disclaimers and Limitation of Liability), 12 (Arbitration and Class Action Waiver), 13 (Governing Law), and 14 (General Provisions) survive termination of your account or these Terms.
15.Community Standards
All users are expected to engage respectfully and professionally. The following are prohibited:
- Spam or unsolicited commercial messaging through the Platform
- Harassment, threats, or abusive behavior toward members, clients, or contacts
- Uploading contacts with whom you do not have a genuine prior professional relationship
- Soliciting, incentivizing, gating, or fabricating reviews in violation of applicable law or any platform's policies
Violations may result in suspension, permanent removal from the Platform, and where appropriate, referral to applicable professional licensing authorities.
16.Updates to These Terms
Bruce reserves the right to update these Terms at any time. For material changes (including any change to the arbitration clause, class action waiver, limitation of liability, or indemnification provisions), Bruce will provide at least 30 days' advance notice via email and an in-platform notice requiring your affirmative acknowledgment before the change takes effect. For non-material changes, posting the revised Terms on this page with an updated "Last Updated" date constitutes sufficient notice. Continued use of the Platform after a material change takes effect (following the notice period and your acknowledgment) constitutes acceptance of the revised Terms.
