1.Acceptance and Eligibility
By creating an account, completing onboarding, or using any part of the Bruce platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
You must be at least 18 years old and hold an active professional license in the category you select at registration. Access to Bruce is restricted to licensed professionals. By registering, you represent that you meet these requirements at the time of registration and will continue to meet them for as long as your account remains active.
The following are prohibited:
- Impersonating another person or professional
- Submitting false, misleading, or unverifiable information
- Misusing introductions or intro records provided through the Platform
- Scraping, harvesting, or automated collection of data
- Using the Platform to facilitate unlawful intro fee arrangements or kickbacks
2.Intro Logging and Verification
Bruce supports two intro logging paths:
- Receiver-initiated: The professional who received the intro logs the introduction, deal value, property type, and month/year. The introducing party confirms.
- Giver-initiated: The introducing professional logs the introduction (property type and approximate date) without a value. The receiving professional adds their deal value independently. The introducing party never enters or confirms a dollar amount.
Intros require confirmation from both parties before becoming part of the verified record. Once confirmed by both parties, records are permanently locked and cannot be edited or deleted by either member. No client names, property addresses, or free-text deal context are stored. The minimum deal value is $100,000.
Bruce currently supports residential property transactions only. Eligible property types include single-family homes, condominiums, multi-family properties of 2 to 4 units, investment and rental properties, and residential land. Commercial real estate is not supported and may not be logged as intro records.
All transaction values are automatically rounded down to the nearest $100,000 for storage and display. No exact deal value is ever stored or shown publicly. This applies to all members and all categories and is not configurable.
What constitutes a "deal value" varies by category:
- Real Estate: Property sale price
- Mortgage: Loan amount funded
- Title & Escrow: Transaction/sale price at close
- Insurance: Dwelling coverage amount placed (replacement cost of the structure; land value excluded)
Bruce tracks professional transaction values, not commissions or compensation between professionals. No money flows between professionals through the Platform in connection with any intro record.
Coordinated misuse. If two members collude to submit a fraudulent or inflated intro record and both confirm it, Bruce's liability is limited to removing the fraudulent record upon notice and investigation. Bruce is not liable to any party for damages arising from reliance on records fraudulently confirmed by two members acting in concert.
Bruce's role; no facilitation of intro arrangements. Bruce is a passive record-keeping platform. Bruce does not facilitate, broker, structure, negotiate, or participate in any intro arrangement between members. The Platform records what members self-report occurred and requires two-party confirmation; it does not create, suggest, or enable any agreement to exchange intros between professionals. Members are solely responsible for ensuring their intro practices comply with all applicable laws and regulations, including without limitation the Real Estate Settlement Procedures Act (RESPA), 12 U.S.C. § 2607, and any applicable state law equivalents. Using the Platform to coordinate or further a quid-pro-quo intro arrangement (where intros are exchanged as a form of currency or compensation between professionals) is prohibited and constitutes a material violation of these Terms. Bruce does not monitor or evaluate whether any pattern of intro activity reflects a lawful or unlawful arrangement. Members acknowledge that Bruce may be required to comply with lawful legal process, including subpoenas or court orders requiring disclosure of Platform records, and that Bruce will cooperate fully with any such process.
3.Leaderboards, Rankings, and GTV
Bruce operates leaderboards and calculates Gross Transaction Value (GTV) scores based on confirmed intro data submitted by users. Rankings reflect self-reported, peer-confirmed transaction data accumulated over time. Anti-gaming guardrails are in place: dual approval is required for all intros, and no professional can unilaterally create a confirmed record.
GTV scores and leaderboard rankings are not audited, certified, or independently verified by Bruce. They reflect what members have submitted and mutually confirmed. Bruce makes no representation that GTV scores accurately reflect a member's complete intro history, actual transaction volume, or professional quality.
4.Bruce Platinum Badge Program
The Bruce Platinum Badge is available exclusively to Pro Max plan members. The badge is tied to an active Pro Max subscription. If a member downgrades or cancels, the badge is automatically deactivated. Badges may also be revoked for conduct violations regardless of subscription status.
The Platinum Badge does not constitute an endorsement, guarantee, or warranty of a professional's performance, competence, or fitness for any purpose.
5.Introductions and Matches
Bruce facilitates professional-to-professional introductions. All introductions operate on a double opt-in basis, meaning both parties confirm interest before contact information is shared. Bruce does not guarantee that introductions will result in intro partnerships, closed deals, revenue, or any particular outcome.
6.AI Assistance and Voice Calls
Bruce is an AI assistant. When you call in, you are speaking with an AI, not a human. Bruce uses artificial intelligence for profile generation from voice conversations, intro matching, summaries, and recommendations.
By providing your phone number during signup, you consent to receiving calls and text messages from Bruce and to the recording, transcription, and voice analysis of those calls for the purpose of building and updating your professional profile. Voice biometric data derived from your calls may be retained for identity matching on future calls. You may request deletion of all voice recordings and biometric data at any time by contacting support@bruce.bot.
Bruce uses the following AI and infrastructure providers to operate the platform. None use your data to train their models by default:
- VAPI: voice AI infrastructure (call processing, transcription, biometric matching)
- OpenAI: AI inference for profile generation and matching (API data auto-deleted within 30 days; not used for training)
- Anthropic: AI inference for profile generation and call analysis (API data auto-deleted within 30 days; ad hoc deletion within this window is not available)
- Amazon Web Services (AWS): cloud infrastructure, storage, and hosting
Voice recordings and biometric identifiers are deleted from both Bruce's systems and VAPI's systems upon a verified deletion request.
All AI-generated text (including profile summaries, match explanations, and recommendations) is informational only and may contain inaccuracies. You are responsible for reviewing and verifying any AI-produced information before relying on it. Bruce assumes no liability for errors in AI-generated content.
7.Ownership and Content Rights
Users retain ownership of the content they submit to Bruce but grant Tanda Technologies, Inc. a non-exclusive, royalty-free, worldwide license to display, distribute, store, and use that content in connection with operating and improving the Platform.
Bruce owns all rights to its technology, branding, platform design, AI-generated text, and aggregated data. Scraping, reproduction, or unauthorized use of Bruce content is strictly prohibited.
8.Privacy and Data
Your use of Bruce is also governed by our Privacy Policy. Bruce never sells user data. The platform is designed to comply with CCPA, CPRA, and applicable state privacy requirements.
Account deletion. When a member requests account deletion: (a) all voice recordings and biometric data are permanently deleted from Bruce's systems and VAPI; (b) all profile and identity data (name, email, phone, license details, and AI-generated summary) are permanently deleted; and (c) confirmed intro records are anonymized, not deleted. On a partner's private dashboard, the deleted member's name is replaced with "user removed." The underlying transaction fact, GTV contribution, and confirmation status remain intact to preserve the co-confirmed record for the remaining party. The deleted member's own GTV is removed with their account.
9.Your Representations and Warranties
By creating an account and using the Platform, you represent and warrant to Tanda Technologies, Inc. that:
- All information you submit (including your name, company, professional category, license number, and contact details) is true, accurate, complete, and not misleading to the best of your knowledge at the time of submission;
- You hold an active, valid professional license in the category and jurisdiction you have stated, and you are authorized to practice in that capacity;
- Each intro record you submit or confirm reflects a genuine professional introduction that occurred as described, between the parties identified, in approximately the time period stated;
- The deal value you enter for any intro record is your honest, good-faith representation of the transaction value of your own transaction with the client, not an inflated, fabricated, or estimated figure;
- You will promptly notify Bruce at support@bruce.bot if your professional license is suspended, revoked, expired, or otherwise materially changes; and
- Your use of the Platform complies with all applicable laws and professional licensing regulations, including but not limited to RESPA, state real estate licensing laws, state mortgage broker regulations, state insurance licensing rules, and any applicable anti-kickback or fee-splitting prohibitions.
You acknowledge that Bruce relies on these representations in operating the Platform and that false representations may constitute fraud and expose you to civil and criminal liability.
10.Indemnification
You agree to indemnify, defend (with counsel reasonably acceptable to Bruce), and hold harmless Tanda Technologies, Inc., its officers, directors, employees, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Any content, data, or information you submit to or confirm on the Platform;
- Your breach of any representation, warranty, or obligation in these Terms;
- Your violation of any applicable law, regulation, or professional licensing requirement;
- Any claim by a third party (including another Platform member or a client) that arises from information associated with your account or actions you took in connection with the Platform;
- Any dispute between you and another Platform member; or
- Any allegation that your use of the Platform constitutes an unlawful intro fee arrangement, kickback, or violation of RESPA or equivalent state law.
This indemnification obligation survives termination of your account and these Terms.
11.Assumption of Risk
You expressly acknowledge and assume the following risks inherent to the Platform:
- Self-reported data. All intro records on the Platform are submitted by users from their own records. Bruce does not independently investigate, audit, or verify any transaction value, deal date, property type, or professional introduction.
- Dual confirmation is not verification by Bruce. When two parties each confirm a intro record, that means two users each independently attested to the record. It does not mean Bruce has verified, audited, or certified that the underlying transaction occurred as described. Bruce is the record-keeper, not the verifier.
- License checks are point-in-time. Bruce conducts an initial credential check against publicly available licensing databases (NMLS, DRE, CDI, NNA, or equivalent) at the time of onboarding. Bruce does not continuously monitor license status. A member's displayed credentials may not reflect suspensions, revocations, expirations, or disciplinary actions that occurred after their initial onboarding. You are solely responsible for independently verifying the current licensing status of any professional before engaging them professionally or sending them clients.
- GTV scores are not audited. Gross Transaction Value scores reflect self-reported, peer-confirmed transaction data. They are not independently audited or certified. A high GTV score is not a guarantee of professional competence, reliability, or fitness for any purpose.
- AI-generated content may be inaccurate. Profile summaries and other AI-generated content are produced automatically from voice call transcriptions and may contain errors, omissions, or misrepresentations. You are responsible for reviewing your own profile and requesting corrections if needed.
- Business decisions are your own. Any decision you make based on information available through the Platform, including decisions about which professionals to partner with, refer clients to, or engage commercially, is made at your sole risk and discretion. Bruce is a professional reputation tool, not a due diligence service.
12.No Verification; No Reliance; Not a Consumer Reporting Agency
Not a verification service. Bruce is a professional reputation and intro tracking platform. It is not a verification service, background check service, licensing authority, or professional regulatory body. Bruce does not certify, endorse, or guarantee the accuracy of any information displayed on the Platform.
No reliance. The Platform is not intended to be relied upon as the sole or primary basis for any business, financial, professional, or legal decision. You agree that you will independently verify any material information before acting on it. Bruce is not responsible for any outcome resulting from a decision you make based on Platform data.
Not a consumer reporting agency. Bruce is not a consumer reporting agency as defined by the Fair Credit Reporting Act (FCRA), 15 U.S.C. § 1681 et seq. Information available on the Platform does not constitute a "consumer report" under FCRA. The Platform is a professional reputation tool for business-to-business commercial purposes: specifically, licensed professionals evaluating potential intro relationships with other licensed professionals in their individual professional capacity. Platform data may not be used as a factor in determining any individual's eligibility for credit, employment, housing, or insurance.
Credential staleness. Bruce conducts an initial license verification at the time of member onboarding. Bruce does not monitor ongoing license status. Information about a member's professional credentials displayed on the Platform may not reflect their current licensing status. You are solely responsible for independently verifying the current licensing status of any professional before relying on that information.
13.Disclaimers and Limitation of Liability
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by applicable law.
14.Arbitration and Class Action Waiver
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or your use of the Platform (including disputes about the validity, enforceability, or scope of this arbitration clause) shall be resolved exclusively through binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures (for claims under $250,000) or its Comprehensive Arbitration Rules and Procedures (for claims $250,000 or more), as applicable. The arbitration shall be conducted in Wilmington, Delaware, or, at your election, by videoconference. The arbitrator shall apply Delaware law. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class action waiver. YOU AND TANDA TECHNOLOGIES, INC. EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION OF ANY KIND. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.
Jury trial waiver. YOU AND TANDA TECHNOLOGIES, INC. EACH WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM.
Severability of waiver. If the class action waiver in this Section is found unenforceable with respect to any claim, then this entire arbitration clause shall be null and void with respect to that claim only, and such claim shall be resolved in a court of competent jurisdiction in Delaware. All other claims subject to arbitration shall proceed individually.
Exceptions. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, pending resolution by the arbitrator.
Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to legal@bruce.bot with the subject line "Arbitration Opt-Out" and your name and account email address. If you opt out, disputes will be resolved in the courts specified in Section 15.
15.Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration under Section 14, you and Tanda Technologies, Inc. each consent to exclusive personal jurisdiction and venue in the state and federal courts located in Wilmington, Delaware, and waive any objection to the exercise of jurisdiction by those courts.
16.General Provisions
Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tanda Technologies, Inc. with respect to the Platform and supersede all prior or contemporaneous understandings, representations, or agreements, whether written or oral, relating to the subject matter herein.
Severability. If any provision of these Terms is held by a court or arbitrator to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
No waiver. Bruce's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Tanda Technologies, Inc.
Assignment. You may not assign or transfer your rights or obligations under these Terms without Bruce's prior written consent. Bruce may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law, without notice to you.
Force majeure. Bruce is not liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, government action, internet outages, or third-party service failures.
Survival. Sections 9 (Representations and Warranties), 10 (Indemnification), 11 (Assumption of Risk), 12 (No Verification; No Reliance), 13 (Disclaimers and Limitation of Liability), 14 (Arbitration and Class Action Waiver), 15 (Governing Law), and 16 (General Provisions) survive termination of your account or these Terms.
17.Community Standards
All users are expected to engage respectfully and professionally. The following are prohibited:
- Spam or unsolicited commercial messaging through the Platform
- Harassment, threats, or abusive behavior toward other members
- Submitting, confirming, or coordinating false or misleading intro records
- Any attempt to manipulate GTV scores, leaderboard rankings, or match results
Violations may result in suspension, permanent removal from the Platform, and where appropriate, referral to applicable professional licensing authorities.
18.Updates to These Terms
Bruce reserves the right to update these Terms at any time. For material changes (including any change to the arbitration clause, class action waiver, limitation of liability, or indemnification provisions), Bruce will provide at least 30 days' advance notice via email and an in-platform notice requiring your affirmative acknowledgment before the change takes effect. For non-material changes, posting the revised Terms on this page with an updated "Last Updated" date constitutes sufficient notice. Continued use of the Platform after a material change takes effect (following the notice period and your acknowledgment) constitutes acceptance of the revised Terms.
